PRE-ORDER AGREEMENT FOR THE LIMITED EDITION GICLEE POSTER

1. GENERAL INFORMATION

This Pre-order Agreement (hereinafter referred to as “Agreement”) regulates the placing of a pre-order / reservation (hereinafter referred to as “Pre-order”) with Zenvo Automotive A/S (hereinafter referred to as “Zenvo” or “Seller” or “us” or “we”) for the limited edition giclee poster with SKU ZAGP-A and ZAGP-T (hereinafter each SKU referred to as “Product”). Please read this Agreement carefully before submitting your Pre-order. By submitting your Pre-order, you agree to be legally bound by these Agreement.

2. OBLIGATIONS

Each Pre-order you submit for a Product acts as a deposit for a future purchase and delivery of the Product. You are under no obligation to purchase a Product from us, and we are under no obligation to deliver you a Product.

This Agreement does not constitute an agreement for the sale of a Product and do not lock in pricing, a firm delivery date, or specific Product configuration.

We may decline Pre-orders to avoid over-sales or as we deem appropriate in our sole discretion. If your Pre-order is declined, you will be notified and your Pre-order payment will be refunded.

3. PRE-ORDER ELIGIBILITY

You must be at least 18 years of age to Pre-order a Product. By agreeing to this Agreement, you represent and warrant to us that you are at least 18 years of age.

4. REGISTRATION

When placing a Pre-order for a Product, you represent and warrant that all information you provided is accurate, and it is your responsibility to keep this information current at any time by emailing [email protected]. Zenvo shall not be liable for inaccurate or outdated information.

5. PAYMENT

You will be charged the pre-order fee of a Product indicated (hereinafter referred to as “Pre-order Fee”) which equals to the full price of the Product plus shipping rate based on selected delivery option and/or address. Placing a Pre-order constitutes your agreement to be charged the Pre-order Fee using provided payment method.

6. DELIVERY

You are pre-ordering a Product without guaranteed delivery date. We will endeavor to send a Product to you in February, 2025 or later upon the availability of a Product, and your priority will be set by the date of payment of your Pre-order Fee and our delivery and processing operations availability. There is no guarantee as to delivery date based on your Pre-order.

7. CANCELLATION AND REFUND

You may cancel your Pre-order and receive a full refund of your Pre-order Fee at any time before a Product has been dispatched from Zenvo facility by sending an email to [email protected] from the address you used to make the Pre-order. You will receive your refund within approximately 5-10 business days. Zenvo may cancel your Pre-order at any time and will issue a full refund of your Pre-order Fee to the address you provided.

8. PRIVACY POLICY

The data Zenvo and/or its affiliates collects from you will be used in accordance with our Privacy Policy and Terms and Conditions, each of which is incorporated herein by reference and available on our website at zenvoautomotive.com/privacy-policy/ and zenvoautomotive.com/terms_and_conditions/. Please read our Privacy Policy and Terms and Conditions carefully to understand the data that we collect and our practices regarding your information and how it will be treated. 9. FORCE MAJEURE

The obligations of you and Zenvo under this Agreement (other than your payment obligations) will be suspended to the extent that such party is wholly or partially precluded from complying with its obligations under this Agreement by force majeure. Force majeure includes, but is not restricted to, fire, storm, flood, earthquake, explosion, accident, act of the public enemy, war, rebellion, insurrection, sabotage, outbreak, epidemic, public health emergency, quarantine restriction, labor dispute, labor shortage, transportation embargo or failure, curtailment or delay in transportation, act of God, act (including laws, regulations, orders, advisories, disapprovals or failure to approve) of any government or public health agency or authority, whether national, statewide, municipal, or otherwise, or any other event or circumstance beyond such party’s control.

10. NO RESELLING

Zenvo and its affiliates may unilaterally cancel any pre-order that we believe has been made with the intent to resell the Product or otherwise has been made in bad faith. Zenvo may also cancel your order if a Product is discontinued after you place your order.

11. COMMUNICATION

By agreeing to this Agreement, you understand that by providing your wireless telephone number(s) now or in the future, you consent to being contacted at those numbers or addresses with non-marketing information about your Pre-order. You understand and agree that by providing your wireless telephone number you are consenting to receive calls or texts at that number. You also consent to receiving emails to any email address(es) you provide. You further understand and agree that these communications may contain your non-public information. You explicitly confirm that this consent covers the use of these contact methods to call or send text messages to the wireless telephone number(s) and to send text or email messages to the email address(es) you provide, for which you may incur a charge. Separately, we may seek your prior express written consent for marketing text messages or telephone calls.
